Case Analysis on Japanese Corporate Law

This course aims to overview features of Japanese corporate governance by reference to cases and practice. Students are expected to develop a comparative perspective from a US point of view. Topics will include management structure, shareholders’ general meeting, the board of directors, director’s fiduciary duty, closely held corporations, fundraising, etc. The class will discuss the key question whether corporate governance will converge around the US model or whether divergence in each jurisdiction may remain in a global aspect. Teaching material for Japanese law and cases will be provided. Evaluation will be based on attendance/class participation (30%) and the final exam (70%). This course will be taught by Professor Hisaei Chuck Ito, Director of the Institute of Comparative Law in Japan, Chuo University. (1 Credit)
